Terms and Conditions
By placing an order with ECity Solutions LLC, you agree to these Terms and Conditions of service. These Terms and Conditions apply uniformly to all customers and cannot be varied for individual cases.
1. Definitions
1.1 In this Agreement, the following terms have the meanings specified:
- “Downtime”: Any service interruption in the availability of the website or services.
- “Intellectual Property Rights”: All patents, trademarks, copyrights, design rights, database rights, know-how, and similar rights.
- “ECity Solutions”: Refers to ECity Solutions LLC.
- “Server”: The computer server equipment operated by ECity Solutions in connection with the services provided.
- “Services”: Includes web hosting, domain registration, SaaS (Software as a Service), retail solutions, AI solutions, and other related services.
- “Customer”: The individual or entity using the services provided by ECity Solutions.
2. Introduction
2.1 The Customer agrees to these Terms for using ECity Solutions' products and services.
2.2 ECity Solutions provides web hosting, SaaS, AI solutions, and other services under these conditions.
3. Payment Terms
3.1 Acceptable payment methods: business checks, cash, credit cards (Visa, MasterCard), and direct debits.
3.2 Credit Card Charges:
- Invoices due on Friday, Saturday, Sunday, or Monday will be processed the prior Thursday.
- Midweek due dates will be billed one day before the due date.
- Invoices near holidays falling on a weekend will be processed two days before the holiday.
3.3 All services auto-renew unless explicitly canceled by the Customer at least 72 hours before the renewal date.
3.4 Refunds: No refunds for yearly services canceled before the end of the year. Pro-rata refunds are not issued.
3.5 Late Payments: Late payments incur an 8% annual interest rate above the base rate.
4. Warranties
4.1 The Customer warrants that:
- The use of any content or software provided to ECity Solutions will not infringe third-party intellectual property rights.
- They have the authority to license the content and software as set out in these Terms.
4.2 ECity Solutions provides no warranty for:
- Satisfactory quality or fitness for a specific purpose.
- Viruses introduced through the Customer's use of services.
5. Indemnity
The Customer agrees to indemnify and hold ECity Solutions, its employees, and agents harmless against all liabilities, damages, and legal fees arising from:
- Breach of these Terms.
- Claims related to the Customer’s content or use of the services.
6. Service Usage
6.1 Customers may only use the services for lawful purposes. Prohibited activities include:
- Sending unsolicited emails ("spam").
- Hosting unlawful or infringing material.
- Uploading malicious software.
6.2 Violations of these policies may result in immediate account termination without notice.
7. SaaS and Hosting Terms
7.1 SaaS services provided by ECity Solutions include non-transferable, non-exclusive software licenses.
7.2 Hosting services include backup facilities for system recovery but do not guarantee restoration of individual customer data.
8. AI and Retail Solutions
8.1 AI Solutions: ECity Solutions offers chatbots, virtual agents, and AI-driven virtual models for fashion, retail, and customer interaction.
8.2 Retail Solutions: Includes SaaS tools for inventory management, e-commerce, and ERP integrations.
9. Intellectual Property
9.1 ECity Solutions retains ownership of all templates, themes, and SaaS products.
9.2 Customers may not resell or redistribute any software or services provided by ECity Solutions.
10. Limitation of Liability
10.1 ECity Solutions is not liable for:
- Indirect damages such as lost profits or opportunities.
- Damages caused by the Customer’s actions or content.
10.2 Direct liability is limited to the fees paid for the month during which the incident occurred.
11. Termination
11.1 Either party may terminate this Agreement with written notice.
11.2 Upon termination, all customer data stored with ECity Solutions will be deleted.
11.3 ECity Solutions may terminate services immediately if:
- Payments are overdue.
- There is a material breach of these Terms.
12. Data Backup and Restoration
12.1 ECity Solutions performs regular system backups but does not guarantee restoration of individual files or data for customers.
12.2 Customers are advised to maintain their own data backups.
13. Amendments
ECity Solutions reserves the right to update these Terms without notice. Updates will be communicated via email or published on the website.
14. Governing Law
This Agreement is governed by the laws of Florida, and disputes are subject to the jurisdiction of Florida courts.
